These Terms and Conditions (“Terms”) govern your use of the services provided by WTFGPT LLC (“WTFGPT,” “we,” “our,” or “us”). By accessing or using our services, you agree to be bound by these Terms.

• Acceptance of Terms: By using our services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use our services.
   
• Business Entity: WTFGPT LLC is a limited liability company owned by Hassen Alhandy.
   
• Service Description: WTFGPT provides decentralized and client-controlled AI services, including hosting, configuration, and management of vector stores, workflow automation software, and LLM access software. Environments are set up on behalf of the client, who retains ownership of all data processed.
   
• No Centralized Data Storage: WTFGPT does not operate centralized servers for client data. Data is processed and stored in client-controlled environments.
   
• Third-Party Services: We rely on trusted third-party providers for payment processing and certain hosting infrastructure. Their terms of service may also apply.
   

• Service Provision: WTFGPT creates and manages environments according to your Statement of Work (“SOW”). Services may include deployment, management, and maintenance of client environments.
   
• Client Control: By default, WTFGPT maintains administrative control of deployed environments. Clients may request administrative privileges to vector stores, workflow automation platforms, and LLM access software at any time. Upon transfer, clients may revoke WTFGPT’s access.
   
• User Responsibilities: You are solely responsible for the legality, accuracy, and security of any data you input, process, or output using our services. You must not use our services for unlawful, harmful, or unauthorized activities.
   
• Data Handling: All data processed through our services remains client-owned. Data outputs (e.g., workflow results, vector embeddings, AI outputs) are delivered directly into your designated environment. WTFGPT does not copy, collect, or sell your data.
   

• Client Data Ownership: Clients own all rights, title, and interest in their input data, processed data, outputs, and configurations created using WTFGPT-managed environments.
   
• WTFGPT Ownership: WTFGPT retains ownership of the operating systems, open-source frameworks, configuration scripts, and any proprietary methodologies used to create and maintain hosting environments. Clients may migrate their data to another provider at any time.
   
• License: By using our services, you grant WTFGPT a limited, revocable license to access your environments strictly for the purpose of configuration, management, or support as outlined in the SOW.
   

• Payment Processing: All transactions are handled through third-party payment processors. WTFGPT does not store sensitive payment information.
   
• Billing Terms: Payment schedules, amounts, and billing cycles are defined in the SOW. Invoices must be paid in accordance with agreed-upon terms.
   
• Non-Payment: Failure to pay may result in suspension or termination of services, including removal of access to managed environments.
   

• Disclaimer of Warranties: Services are provided “as-is” and “as-available.” WTFGPT makes no guarantees about service performance, uptime, or the accuracy of AI outputs.
   
• Data & Hardware: Clients are responsible for maintaining backups of their data. WTFGPT is not liable for data loss resulting from misuse, revocation of access, or termination of services. If services end, hardware resources used for hosting may be wiped and repurposed.
   
• Indemnification: Clients agree to indemnify and hold WTFGPT harmless against claims, damages, or liabilities arising from misuse of services, including unlawful or unauthorized data processing.
   
• Limitation of Damages: To the fullest extent permitted by law, WTFGPT’s liability is limited to the total fees paid by the client for services in the 12 months preceding the claim.
   

• By Client: You may terminate services at any time, subject to payment of any outstanding balances.
   
• By WTFGPT: We may suspend or terminate services for breach of these Terms, illegal use, or failure to pay.
   
• Post-Termination: Upon termination, clients may export or delete their data. WTFGPT will assist upon request, but is not obligated to retain data once services are concluded.
   

WTFGPT complies with applicable U.S. laws and regulations. If compelled by law, we may disclose limited information. However, because WTFGPT does not centralize client data, the scope of disclosure is inherently restricted.

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising under or relating to these Terms or our services shall be brought exclusively in the state or federal courts located in [Lucas County], Ohio. By using our services, you consent to the jurisdiction of such courts and waive any objection to venue in those courts.
