These Terms and Conditions (“Terms”) govern your use of the services provided by WTFGPT LLC (“WTFGPT,” “we,” “our,” or “us”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use WTFGPT.

1. General Terms
Acceptance of Terms:
By using our services, you confirm that you have read, understood, and agree to these Terms.
Business Entity:
WTFGPT LLC is a limited liability company owned by Hassen Alhandy.
Service Description:
WTFGPT provides decentralized and client-controlled AI services, including hosting, configuration, and management of vector stores, workflow automation software, and LLM access software. Environments are set up on behalf of the client, who retains ownership of all data processed.
No Centralized Data Storage
WTFGPT hosts, maintains, manages, and supports workflows automations, LLM's, and Vector Store using open-source software running on a dedicated machine in the cloud. At any point, the client may request WTFGPT to export all vector store table data and delete all client data from the existing vector store. The client may also request a copy of all workflow automatons used daily by the client, limited to one automation per month of active service. WTFGPT does not store any data on system servers; all client data is required to be stored on a separate server.
Third-Party Services:
We rely on trusted third-party providers for payment processing and certain hosting infrastructure.
2. Services and Usage
Service Provision:
WTFGPT creates and manages environments according to your Statement of Work (“SOW”). Services may include creation, deployment, management, and maintenance of client environments.
Client Control:
By default, WTFGPT maintains administrative control of all WTFGPT server environments. If clients wish for WTFGPT LLC to manage vector stores, workflow automatons, or front-end GUIs on our system servers, the client retains full administrative control over all data inside these Managed Services. Clients have the ability to restrict or grant access to other individuals. As a result, WTFGPT will not assume any risk or liability in the event of a data leak or breach. We recommend hosting off-server with third-party services for increased security.
Client Responsibilities:
You are solely responsible for the legality, accuracy, and security of any data you input, process, or output using our services. You must not use our services for unlawful, harmful, or unauthorized activities.
Data Handling:
All data processed through our services remains client-owned. WTFGPT does not copy or sell your data. No data is kept by WTFGPT in storage or on centralized servers. All data belongs to the client after service termination.
3. Intellectual Property
Client Data Ownership:
Clients own all rights, title, and interest in their input data, processed data, and output data.
WTFGPT Ownership:
WTFGPT retains ownership of the operating systems, open-source frameworks, configuration scripts, and any proprietary methodologies used to create and maintain hosting environments. The AI development stack is considered intellectual property of WTFGPT. Root access to the server is reserved for WTFGPT employees only. Any fine-tuned LLMs are considered the intellectual property of WTFGPT.
Workflow Ownership:
All workflows are considered open source and will be provided to the client upon request, limited to one workflow per month of service.
LLM Ownership:
All LLM's (excluding fine-tuned models) are considered open source. Upon request, WTFGPT will provide a link for clients to download all LLMs used by WTFGPT while services were being provided. Fine-tuned LLM's are considered property of WTFGPT and will not be turned over.
Hardware:
If the client is provided hardware by WTFGPT, the hardware is owned by the client. The operating system and AI stack running on the hardware is considered intellectual property of WTFGPT. The client may repurpose purchased hardware at any time but will not receive root access to the machine or access to the server over SSH or from the graphical user interface on the server. The client only has the ability to access the server from the web interface or through authorized API endpoints.
4. Server Hosting and Management
Data Storage and Access:
In the event that the client requests WTFGPT LLC to manage vector stores, workflow automatons, or front-end GUIs (collectively referred to as "Managed Services") on our system servers:
Admin Control:
Clients possess administrative control over all data inside the vector store, workflow automatons, or front-end GUI. Clients have the ability to restrict or grant access to other individuals. As a result, WTFGPT will not assume any risk or liability in the event of a data leak or breach. We recommend hosting off-server with third-party services for increased security.
Support and Maintenance:
Support and maintenance for Managed Services are provided as specified in the Statement of Work (SOW).
5. Billing and Payment
Payment Processing:
All transactions are handled through third-party payment processors. WTFGPT does not store sensitive payment information.
Billing Terms:
Payment schedules, amounts, and billing cycles are defined in the SOW. Invoices must be paid in accordance with agreed-upon terms.
Non-Payment:
Failure to pay may result in immediate suspension of server access. After 2 weeks, services will terminate, and WTFGPT will reinitialize servers for new customers. Any client over 2 weeks late must go through the setup process again and will be required to pay all initial server setup fees and any workflows that were not requested prior to abandonment.
6. Limitation of Liability
Disclaimer of Warranties:
Services are provided "as-is" and "as-available." WTFGPT makes no guarantees about service performance, uptime, or the accuracy of AI outputs. WTFGPT does not recommend terminating positions an AI server can replace, nor will it assume liability in such cases.
Data & Hardware:
Clients are responsible for securing data in their vector store, requesting copies of all workflow automations, and managing hardware resources used for hosting. WTFGPT is not liable for data loss resulting from misuse, revocation of access, or termination of services. If services end, hardware resources may be wiped and repurposed.
Indemnification:
The client agrees to indemnify, defend, and hold WTFGPT harmless from any claims arising out of the client’s misuse of the services, including unlawful data processing or loss of revenue resulting from server malfunction or workflow malfunction.
Limitation of Damages:
WTFGPT is liable for server downtime at a rate of $5 per hour while the service is down. This amount will be removed from the client's bill each month for each hour of downtime in the event the client wishes to continue using WTFGPT services. No repayment will be provided.
7. Termination
By Client:
You may terminate services at any time, subject to payment of any outstanding balances.
By WTFGPT:
We may suspend or terminate services for breach of these Terms, illegal use, failure to pay, or any other reason.
Post-Termination:
Upon termination, clients may export, delete, or revoke WTFGPT access to their data. WTFGPT will ensure the client has admin rights over their vector store, access to LLMs used (excluding fine-tuned models), and access to all workflows used daily by the client (limited to one workflow per month of service).
8. Legal Compliance
Compliance:
WTFGPT complies with applicable U.S. laws and regulations. If compelled by law, we may disclose limited information. However, because WTFGPT does not centralize client data, the scope of disclosure is inherently restricted.
9. Governing Law and Venue
Governance:
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
Jurisdiction:
You agree that any legal action or proceeding arising under or relating to these Terms or our services shall be brought exclusively in the state or federal courts located in Lucas County, Ohio. By using our services, you consent to the jurisdiction of such courts and waive any objection to venue in those courts.
